Barry, I would like to agree to Dan taking his new role. However Im not sure its currently in the company's
interest. as you already know, I also disagree with Gersten taking a job as COO. You and i agree that we are
done with each other and I would propose the following: I resign effective immediately, we exchange mutual
releases that are end of the world releases,no further obligations of any sort . If you want to buy my stock , you
can if not , I ll keep it. I feel strongly that the documents to this agreement be signed before any announcement.
