I. Pay the notes owed to my children and me, tomorrow, holding that as ransom in order to force me into
agreeing a non compete is not in your interest ie certainly will not be received well by the judge if it comes
to that.
2. With an agreed payment , ( our difference now stands at 2 million bid, 5m offered) I will enter a non hire,
non compete. with certain issues to be clearly defined, ( to avoid any unnecessary friction/lawsuits in the
future, )i.e. length of time, ( I would prefer to limit it to 1 year ) covenants. jurisidiction. class of hires. etc -
you and I can do this at lunch.
3. If 1 and 2 happen I will resign effective immediately , and agree to sell you my stock. ( currently part of
the 2 -5 bid offer )
4.if you prefer , I will help ease Dans transistion. As a side note , I think you should re-imburse my legal
fees incurred in fighting the TRO.
5. We shake hands , and are done. mutual releases.
