with purchase price. All commissions and payables will be made from the Oldco account. It was not practical to use
escrow acct for this. Instead we have added language that says the seller shall indemnify us against any payment due but
not so timely made. As usual, you were on the mark with your suggestion-makes absolute sense in terms of us not being
in the loop, avoidance of making payments for business done before we owned the assets is certainly preferable + avoids
the messy situation that we make some commission payments and Artspace needs to make others from their proceeds.
