No management fee (I assume NEC = no employee compensation) is fine. I assume actual expenses such
as audit, legal, travel, etc... would be paid by the vehicle. LLC structure is fine. Compensation comes in
the form of the 25% carry / profit participation. I have another fund vehicle (the one you have the docs
for), which this vehicle would invest alongside of on a pro rata basis. Funds would be drawn down
through capital calls with 25% of the committed capital drawn immediately. I accept all of this. Please
confirm and I will setup the LLC vehicle and docs immediately. Should have everything completed by
next week. I also need to know what the capital commitment would be.
