aaa. "Interest Certificates" shall have the meaning set forth in Section
20.
bbb. "Interest Reserve" shall have the meaning set forth in Section 6i.
ccc. "Investment Committee" shall have the meaning set forth in
Section 61
ddd. "Investment P&L" shall mean, with respect to an Investment for a
fiscal year, the net realized and unrealized gains or losses for such Investment for such fiscal
year (taking into account the expenses related thereto), determined on a marked-to-market basis
in accordance with the Firm's Valuation Policies.
eee. "Investments" shall mean the investments owned or hereafter
acquired from time to time by any of the Funds as determined in the discretion of the Managing
Member.
ff. "Liquidity Event" shall have the meaning set forth in Section 13.
ggg. "Loan" shall mean a term loan made by the Company to a Non-
Managing Member from the proceeds of the Citi Loan evidenced by a Note and secured by the
Note Collateral.
hhh. "Management Committee" shall mean the management committee
of the Firm established in accordance with Section 64.
iii. "Members" shall mean the Managing Member and the Non-
Managing Members.
jjj. "Negative P&L" shall mean net losses attributable to a Member
with respect to Investments allocated to such Member as of December 31, 2009 as determined by
the Managing Member as set forth in such Member's Revised Supplement.
