Hersant, Attorneys-at-Law has been retained as Cayman Islands
counsel for the Investment Manager, the Offshore Feeder Fund
and the General Partner. No attorney-client relationship exists
between either Cleary Gottlieb Steen & Hamilton LLP or Stuarts
Walker Hersant and any other person solely by virtue of such
person making an investment in the Onshore Feeder Fund or
Offshore Feeder Fund.
