Spoke with Adam Bly last night for an hour. He seemed to be agreeable with almost all of my tough terms of a deal. I
plan to speak with him again this am at 9am before his board call at 1030am. I have two areas to kill deal.

8) 1mm cash for 5lpercent should be 75 to 80 percent due to accrued liablities and bankruptcy costs.
