mainly goofy. 1. not sure what structure you are buying,? 2. merger seems crazy, asset
purchase subject to fraudulent conveyance upon eventual bankruptcy, 1 you could keep all loan
repayable monies in escrow for a year, have them ( catherine and Chris ) fight lawsuits and
settlements, 3. personnel. many questions. 4. accounting - mess. 5. A good excercise giving me
pause in naming family entities phaidon. etc. will discuss on phone
