Jeffrey, as we agreed I will pay by May 15th, One million and two hundred thousand, with respect
to the two hundred and fifty thousand services. I will begin all work as required but if for any
reason I am unable to complete the services I will pay you the balance (Two hundred and fifty
thousant less whatever I have spent working on your project). I explained this to Jay and he will
